The Board of Directors have been elected by the general membership of the band 
and will serve as the band's governing and policy making body for one year. 
The Board's term takes effect July 1st of the upcoming season.

    New Orleans Concert Band Bylaws 
    Article I. Membership 

    A. Any adult who is interested in the purpose of the band shall become a member of the organization when:

    1. A vacancy exists in the section applied for 

    2. Musical competence is determined by the conductor, by audition if necessary. 

    3.An information card is completed and turned in to the President 

    4. Current dues have been paid. Dues are to be paid to the band Treasurer no later than the third rehearsal attended by the new member. 

    5. Seating shall be determined by the conductor with input from the section leader of that section. 

    B. Members shall be required to maintain satisfactory attendance, demonstrate continued musical competence, be current in payment of dues and abide by band regulations in order to remain in good standing. 

    C. Dues: Active members shall pay to the treasurer the yearly amount specified by the Board. 

    1. Dues may be waived or reduced by the Board for individual members. 

    2. Dues are payable during the month of September and are considered delinquent if paid thereafter. 3. Changed in yearly membership fees shall be determined by the Board. 


    Article II. Rehearsal and Performances 

    A. Rehearsal times shall be determined by the Board of Directors and the Conductor. 

    B. The Board shall issue periodically to the membership a calendar of upcoming rehearsals and performances.

    C. Then Board shall establish appropriate dress for band performances. 

    D. Attendance at all band concerts is expected of all members. Attendance at the pre- performance dress rehearsal is required unless excused by the conductor. Unexcused absence from two rehearsals immediately preceeding a preformance will result in that member not being allowded to preform in that performance. 

    E. The conductor has the ability to invite non-member extra musicians to complete instrumentation requirements for a performance. Rehearsal attendance for these musicians will be at the discretion of the conductor. 


    Article III. Membership Meetings 

    A. An annual meeting of all members shall be hels on the first Tuesday of May for the purpose of transacting business and the election of officers for the coming year beginning July1. The date, time and location of such a meeting shall be designated by the Board. 

    B. Special meetings of all members may be called by the President, the Board, or any three active members. 

    C. Voting at meetings shall be in person only. Absentee voting or voting by proxy shall not be allowed. 

    D. A quorum shall consist of over 50% of the active menbership present, in person. 


    Article IV. Board of Directors 

    A. The Board of Directors shall consist of President, Vice President, Secretary, Treasurer, and five (5) At-Large Directors. The Conductor and Associate Conductor will be ex- officio (non-voting) members of the Board. The outgoing President shall remain on the Board as Board Advisor for a period of one year. 
     

    1. Two weeks prior to the annual meeting, nominations for Board membership shall be accepted from any active member. 
    2. A majority vote elects all candidates. 

    B. The Board shall meet once a month, at the discretion of the President. Special meeting may be called by the President or any two Directors upon reasonable notice to all Directors.

    C. Any vacancy occurring in the Board shall be filled by the Board until the next election. 

    D. Any Board member may be removed at any time by an affirmative vote of 2/3 of the Board. 

    E. A majority of the Board shall constitute a quorum for the transaction of business. 


    Article V. Officers

    A. The officers of the band shall be President, Vice President, Secretary, and Treasurer.

    B. All officers shall serve a one year term and shall be eligible for re-election. C. Duties of the officers shall be as follows: 
    1. President - shall preside at all meetings of members and Directors.; shall see that all orders and resolutions of the Board are carried out; shall have the power to execute all contracts with approval of the Board; may authorize expenditures in an amount to be determined by the Board (presently $200); and may sign checks. 
    2. Vice President - shall act as Parliamentarian at Board meetings and membership meetings; shall tally the count of elections; shall collect monies for the purchase of Christmas gifts for the Conductor and Associate Conductor; and perform such duties as designated by the Board. 
    3. Secretary - shall keep minutes of all meetings and other permanent records of the band; shall serve as Historian, maintaining an archive of programs and other pertinent materials; and shall perform all duties as prescribed by the Board. 
    4. Treasurer - shall have charge of all funds of the band and is responsible for disbursement of such funds under the direction of the Board; shall keep a record of all monies; may sign checks, subject to control of the Board. 

    D. Any officer may be removed at any time by an affirmative 2/3 vote of the Board.


    Article VI. Administration 

    A. The Conductor and Associate Conductor shall be appointed by the Board, who shall review these appointments annually. The Conductor (with advice from the Music Committee) is responsible for the final selection of music, seating, vacancies, numbers of musicians, and other things that are reasonably and logically the responsibility of the Conductor.

    B. Music Committee - shall consist of the Conductor, Associate Conductor, and representatives of each section. The committee is responsible for the selection of themes for concerts, and suggestions of music to be played. The Conductor is responsible for final selection and interpretation of music. 

    C. Other Administrative Officers - may be appointed by the Board as required. 


    Article VII. Amendments

    These Bylaws may be amended by approval of 2/3 of the membership. Notice of a proposed amendment and a copy of the text shall be provided to the membership not less that two weeks prior to the voting date.
